Vending Service Agreement
This agreement is made the _______ day of _____________, 20______
by and between ______________________________________(location)
and _________________________________________(Vendor)
Whereas, Location desires quality vending service for its employees and
customers.
Whereas, Vendor has the capacity and the knowledge to provide said service.
Now, Therefore, both parties agree as follows:
1. Location agrees to allow Vendors to exclusively provide vending machines
upon location’s business premises subject to the terms and conditions of the
agreement.
2. The term of the agreement shall commence on ______________________,
20____, and shall continue until __________________, 20________.
Following the expiration of the term, the agreement will be automatically
renewable for additional one year periods unless notice in writing is tendered
between ninety (90) and thirty (30) days prior to the expiration of the
agreement or any subsequently renewal thereto.
3. Vendor shall be responsible for installing and maintaining
vending equipment that reasonably meets the location’s needs. Vendor shall
remain the sole owner of all such equipment. Location shall provide all
utilities including necessary water and electrical lines. Location shall also
dedicate appropriate space for vendor’s equipment which is designed to
maximize access to the units by both their users and by employees or agents if
Vendor who service the units. Both parties hereto shall be responsible for
loss or damage to their respective property.
4. Vendor reserves the right at time during this agreement to alter the units
presently located at the premises of location or to remove all units if, in
the sole discretion, it is determined that vending cannot be properly
maintained.
This agreement is assignable by either party without notice.
Vendor will pay____% of the____ Sales taken from the machines.
